1. Introduction
LWF seeks to engage an independent legal consultant, either an individual professional or a qualified legal consulting firm to provide specialized legal services supporting the organization’s operations in the Syrian Arab Republic. These Terms of Reference outline the consultant’s role by detailing the scope of work, responsibilities, deliverables, and standards expected from the consultant to ensure that LWF’s activities in Syria adhere to all applicable national laws and remain consistent with the organization’s internal policies and compliance standards.

2. Purpose of the Assignment
The purpose of this consultancy is to provide expert legal advice compliant with Syrian laws and regulations, support LWF in drafting and reviewing contracts, guide on HR, procurement, and financial matters, identify and mitigate legal risks, and ensure lawful implementation of LWF activities in Syria. The purpose of this consultancy is to provide LWF with comprehensive and authoritative legal support that is fully compliant with Syrian laws and regulations. The consultant will advise on contract drafting and review, offer guidance on HR, procurement, and financial matters, and proactively identify and mitigate legal risks associated with LWF’s operations. In addition, the consultancy will play a key role in ensuring that LWF’s registration and organizational presence in Syria remain aligned with all relevant governmental policies, procedures, and regulatory requirements. This includes offering liaison support with authorities, facilitating legal processes, and ensuring the lawful and smooth implementation of LWF activities across the country.
3. Scope of Work and Responsibilities
A. General Legal Advice
The Consultant shall provide written and verbal legal opinions on matters referred by LWF, analyse legal risks, propose mitigation measures, and advise on compliance with Syrian laws relevant to LWF operations.
B. Drafting and Reviewing Contracts
The Consultant shall draft and review LWF contracts, agreements, and MoUs including leases, service agreements, procurement contracts, and partner agreements. The Consultant shall ensure that contracts protect LWF’s interests and comply with local laws and provide detailed revisions and comments.
C. Human Resources Matters
The Consultant shall draft and review employment contracts in compliance with Syrian labor laws, social security, and tax regulations, advise on HR matters such as leave, disciplinary measures, termination, grievances, and investigations, and support LWF in resolving labor-related disputes, including representation where needed.
D. Financial and Banking Legal Issues
The Consultant shall advise on banking procedures, financial transfers, and tax obligations, interpret financial and tax laws relevant to NGOs, and ensure compliance with financial reporting requirements.
E. Procurement and Tenders
The Consultant shall review tender documents, bid evaluations, and procurement files, advise on the legal compliance of procurement processes, and review contracts with suppliers and contractors, identifying risks where applicable.
F. Assets and Property Matters
The Consultant shall draft and review lease agreements for offices and warehouses and advise on asset ownership, transfer, or property disputes.
G. Legal Representation and Government Liaison
The Consultant may represent LWF before governmental bodies or courts when authorized and follow up on legal matters with relevant authorities to support LWF operations. In addition, the Consultant will support LWF in all regulatory and administrative requirements related to its presence and operations in Syria. This includes providing guidance and facilitation on matters such as visas and work permits for staff, compliance with residency and labor regulations, obtaining and renewing organizational registration, and securing necessary project approvals from relevant government ministries and authorities.
H. Compliance and Anti-Corruption
The Consultant shall ensure compliance with anti-corruption, anti-money-laundering, and counter-terrorism financing laws, identify compliance risks, and recommend preventive measures.
I. Emergency and Force Majeure Legal Support
The Consultant shall provide urgent legal advice in emergencies affecting LWF operations such as new government restrictions, conflict-related issues, or sudden legal changes and prepare legal briefs to protect LWF interests during such situations.
4. Deliverables
The Consultant shall provide legal reports and written opinions, drafted or reviewed contracts, legal memoranda for HR or procurement matters, periodic compliance updates on the legal environment, and advisory notes summarizing verbal consultations.
5. Working Methodology
The Consultant shall work independently, respond promptly to legal inquiries, maintain regular communication with the assigned LWF focal point, and provide all legal advice professionally and clearly.
6. Confidentiality
The Consultant shall keep all information confidential, shall not disclose information to third parties without written approval from LWF, and shall maintain confidentiality for two years after contract termination.
7. Professional Standards
The Consultant shall comply with legal ethics, deliver services according to international best practices, and ensure full compliance with Syrian laws and regulations.
8. Duration
The services shall be delivered for the duration stated in the main Service Agreement and may be extended upon written agreement between the parties.
9. Termination
Either party may terminate the consultancy in accordance with the termination clause in the main Agreement. Upon termination, the Consultant shall hand over all LWF documents and materials and is entitled to payment only for services performed up to the termination date.
10. Fees
Fees shall be paid according to the terms of the main Agreement. The Consultant must submit invoices or work summaries specifying completed tasks.
